Welcome to The Natural Plant Food Company.

The Natural Plant Food Company is a trading name of 1UP Natural Products Ltd, company number 12370840, with its registered office at Linstock Castle, Linstock, Carlisle, CA6 4PZ, United Kingdom.

Throughout these Terms, the words “we”, “us” and “our” refer to 1UP Natural Products Ltd trading as The Natural Plant Food Company.

We operate this website and online store, including the information, content, features, tools, products and services made available through it (together, the “Services”). Our online store is powered by Shopify, which provides the ecommerce platform that enables us to offer our products to you.

These Terms of Service, together with the policies referred to in them, explain the terms that apply when you access our website or purchase from us.

Please read them carefully before placing an order.

By accessing or using our Services or placing an order with us, you agree to these Terms and acknowledge our Privacy Policy.

Nothing in these Terms affects any rights you have under applicable consumer law.

Our standard online store is intended primarily for consumer purchases. Trade, wholesale and commercial enquiries or orders may be subject to separate terms agreed with us in writing.

SECTION 1 - ACCESS AND ACCOUNT

You must have the legal capacity to enter into a binding contract in order to place an order with us. If you are under 18, please ask a parent or guardian to place the order on your behalf.

When using our Services or placing an order, you may be asked to provide information including your name, email address, billing details, payment information and delivery address.

You agree that the information you provide will be accurate, current and complete.

If you create an account, you are responsible for keeping your account credentials secure and for activity carried out using your account. Please contact us if you believe your account has been accessed without your permission.

You must not use our Services for unlawful or fraudulent purposes.

SECTION 2 - OUR PRODUCTS

We take reasonable care to ensure that product descriptions, photographs, packaging information and other details displayed on our website are accurate.

However, colours and appearance may vary slightly depending on the screen or device you use. Packaging, labels or presentation may also change from time to time without materially changing the product.

Product photographs are intended to provide a fair representation of the products but may include props, plants, pots, gardens or other items that are not included in your purchase.

Please always read and follow the instructions provided on the product packaging.

Plant health and growth depend on many factors outside our control, including the plant itself, watering, light, weather, soil, temperature, growing conditions and how a product is used. We therefore cannot promise a particular horticultural result in every circumstance.

This does not affect your legal rights where a product is faulty, not as described or otherwise does not meet the standards required by law.

We may update product descriptions, packaging, availability or ranges from time to time and may discontinue a product without notice.

We may also limit quantities where reasonably necessary, including where stock is limited or we reasonably suspect misuse, fraud or unauthorised resale.

SECTION 3 - ORDERS

When you place an order through our online store, you are offering to purchase the products in your basket.

Please check your order carefully before submitting it.

Your order is accepted when we send you confirmation that we have accepted and processed your order. We reserve the right not to accept an order, including where:

a product is unavailable;
payment cannot be authorised;
there is an obvious error in the price or product information;
we are unable to deliver to the address provided;
we reasonably suspect fraud or misuse; or
accepting the order would breach applicable law.

If we cannot accept an order after payment has been taken, we will refund the amount paid.

If you need to change or cancel an order, please contact us as quickly as possible at info@naturalplantfoodcompany.co.uk. We will do our best to help, although we cannot guarantee that an order can be amended once processing or dispatch has begun.

Your statutory cancellation and return rights are not affected by this.

Returns, cancellations, faulty products and refunds are dealt with in more detail in our Refund Policy.

Orders placed through our consumer online store are intended for personal or household use. If you wish to purchase for resale, trade, wholesale or commercial purposes, please use our Trade or Commercial & Bulk Supply enquiry routes. Separate commercial terms may apply.

SECTION 4 - PRICES AND PAYMENT

All prices displayed on our website are in pounds sterling (GBP).

The price you pay will be the price shown when you place your order, subject to any obvious pricing error.

Any applicable taxes and delivery charges will be shown to you before you complete checkout.

Delivery charges are calculated in accordance with our current Shipping Policy.

Prices, offers, discounts and promotions may change from time to time. A change will not affect an order that we have already accepted.

Promotional offers may be subject to additional conditions. Where separate promotional terms apply, those terms will take precedence over these Terms in relation to that promotion.

You agree to provide accurate and complete payment and billing information.

By submitting payment details, you confirm that you are authorised to use the payment method provided.

Payments are processed securely through Shopify and the payment providers made available at checkout. We do not directly store your full payment card details.

If we discover an obvious pricing error before dispatch, we may contact you and give you the option to proceed at the correct price or cancel the order for a full refund.

SECTION 5 - SHIPPING AND DELIVERY

We currently deliver to UK addresses unless otherwise stated on our website or at checkout.

We usually aim to dispatch orders within 2 to 3 working days.

Any dispatch or delivery time shown on our website is an estimate unless we expressly agree otherwise.

We are not responsible for delays caused by events outside our reasonable control. If there is a significant delay, we will contact you where reasonably possible.

Importantly, where you are purchasing as a consumer, the products remain at our risk until they come into your physical possession, or the physical possession of somebody you have identified to receive them on your behalf.

The exception is where you independently arrange a carrier that we did not offer as a delivery option. In that situation, risk may pass when the goods are handed to that carrier.

If your order is lost or damaged before it reaches you, please contact us at info@naturalplantfoodcompany.co.uk and we will investigate.

Nothing in this section limits your rights under applicable consumer law.

SECTION 6 - CANCELLATIONS, RETURNS AND REFUNDS

If you are purchasing as a consumer online, you will normally have a legal right to cancel your order without giving a reason within 14 days after receiving the goods, subject to any exceptions provided by law.

After telling us that you wish to cancel, you will normally have a further 14 days to return the goods.

the return address;
who is responsible for return postage;
refunds of standard delivery charges;
damaged, faulty or incorrect products; and
how refunds are processed.

Where a return is made simply because you have changed your mind, you may be responsible for the cost of returning the goods where permitted by law.

If a product is faulty, damaged, not as described or we have sent the wrong item, your statutory rights apply and we will not require you to bear costs that result from our error.

Nothing in these Terms or our Refund Policy limits your statutory rights.

SECTION 7 - INTELLECTUAL PROPERTY

The content made available through our Services, including our branding, logos, product names, packaging designs, copy, photography, graphics, illustrations, video, audio, website design and other content, is owned by or licensed to us and is protected by applicable intellectual property laws.

You may access and use our website for your own personal and lawful use.

Unless we have given you written permission, you must not reproduce, republish, distribute, modify, commercially exploit or create derivative works from our website content or branding.

Trade customers who are provided with approved product imagery, logos or other marketing assets may use those materials only in accordance with any conditions we provide with them.

“The Natural Plant Food Company”, our logos, product names, designs and associated branding may be trademarks or other protected intellectual property of 1UP Natural Products Ltd or its licensors.

Shopify’s names, logos and other intellectual property belong to Shopify or its licensors.

All rights not expressly granted are reserved.

SECTION 8 - OPTIONAL TOOLS AND THIRD-PARTY SERVICES

From time to time, our website may give you access to features, tools or services supplied by third parties.

We do not necessarily control those services and their use may be subject to separate terms and privacy policies.

Where you choose to use a third-party service, you should review and understand the relevant provider’s terms.

We are not responsible for third-party services to the extent permitted by law, except where responsibility cannot lawfully be excluded.

We may add new features, tools or resources to our Services from time to time. Unless stated otherwise, these Terms will also apply to those features.

SECTION 9 - THIRD-PARTY LINKS

Our website may contain links to websites, social media platforms or services operated by third parties.

We are not responsible for the content, availability, accuracy or practices of third-party websites that we do not control.

Following a third-party link is at your discretion. Before purchasing from or providing information to a third party, please review that party’s own terms and privacy information.

Any questions or complaints about goods or services purchased directly from a third party should be directed to that third party.

SECTION 10 - RELATIONSHIP WITH SHOPIFY

The Natural Plant Food Company is powered by Shopify, which enables us to provide the Services to you.

However, any sales and purchases you make in our store are made directly with 1UP Natural Products Ltd trading as The Natural Plant Food Company.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sale between you and The Natural Plant Food Company, including any injury, damage or loss resulting from products purchased from us.

To the extent permitted by applicable law, you release Shopify and its affiliates from claims, damages and liabilities arising from or relating to purchases and transactions made directly with The Natural Plant Food Company.

Nothing in this section affects any rights or remedies that cannot lawfully be excluded.

SECTION 11 - PRIVACY

Personal information that we collect through our Services is handled in accordance with our Privacy Policy.

Because our store is hosted by Shopify, Shopify also processes certain personal information in order to provide and operate the ecommerce platform.

If you voluntarily send us reviews, photographs, suggestions, ideas or other feedback, you confirm that you have the right to provide that material.

Unless we agree otherwise, you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, publish and display that material for purposes connected with operating, improving and promoting The Natural Plant Food Company.

This may include using a product review on our website or marketing channels.

Nothing in this section prevents legitimate search engines or other services that we have permitted from indexing or accessing publicly available content.

Provisions that are intended by their nature to continue after termination will remain in effect.

We aim to keep our website and Services available and accurate, but we cannot promise that the website will always be uninterrupted, completely error-free or available at all times.

We may temporarily suspend access for maintenance, security, updates or circumstances outside our reasonable control.

General gardening and plant-care information on our website is provided for general informational purposes. Growing conditions vary and results may differ.

Nothing in these Terms excludes or restricts the legal rights you have as a consumer.

In particular, products sold to consumers must meet the standards required by law, including being as described, of satisfactory quality and fit for purpose where applicable.

SECTION 18 - LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

This includes liability for:

death or personal injury caused by negligence;
fraud or fraudulent misrepresentation; or
breach of rights or obligations that cannot lawfully be excluded under consumer law.

If you are purchasing as a consumer, we are responsible for losses that are a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill.

We are not responsible for losses that were not reasonably foreseeable when the contract was formed.

Products purchased through our consumer store are supplied for domestic and private use. If you use them for business or commercial purposes without entering into separate commercial terms with us, we will not be responsible for business losses such as loss of profit, loss of revenue, loss of business or loss of business opportunity, to the extent permitted by law.

Nothing in this section affects your statutory rights.

SECTION 19 - YOUR RESPONSIBILITY FOR MISUSE

You are responsible for losses that we reasonably incur as a direct result of your unlawful use of our Services or a serious breach of these Terms, to the extent permitted by law.

We will take reasonable steps to reduce any avoidable loss.

Nothing in this section creates liability that would be unfair or unenforceable under applicable consumer law.

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified to the minimum extent necessary or, where that is not possible, removed.

The remaining provisions will continue in full force and effect.

If we do not immediately enforce a provision of these Terms, that does not mean we have waived our right to enforce it later.

These Terms, together with the policies and any other terms expressly incorporated into them, form the agreement between you and us concerning your use of the Services and consumer purchases made through our online store.

Nothing in this section limits any representation or right that cannot lawfully be excluded.

SECTION 22 - ASSIGNMENT

You may not transfer your rights or obligations under these Terms to another person without our written consent, except where the law allows you to do so.

We may transfer our rights or obligations under these Terms to another organisation, for example as part of a sale, restructuring or transfer of our business.

If this happens, it will not reduce your legal rights under an existing consumer contract.

If you are a consumer living in England or Wales, the courts of England and Wales will have non-exclusive jurisdiction over disputes relating to these Terms.

If you live in Scotland or Northern Ireland, you may also be entitled to bring proceedings in the courts where you live.

Nothing in this section deprives you of mandatory consumer protections that apply to you under the law.

We may update these Terms from time to time, including to reflect changes to our business, our Services, applicable law or regulatory requirements.

Changes will normally apply to future use of our Services and future orders.

The terms that applied when we accepted an order will continue to govern that order unless the law requires otherwise or you expressly agree to a change.

Where required by law, we will give appropriate notice of material changes.
